Investment FAQ

Is this a risky investment?

Yes, absolutely. We are a startup EV company and there’s a lot of risks built into that. Please do not invest any money that you can’t afford to lose.

On a personal note: I do not want anyone invest any money that they’re going to be worried about not having. We will survive without your investment. I don’t want anyone stressed over this. We’re a start-up. This is a very risky investment - Chace

What method are you using to conduct this investment raise?

We are using a subscription agreement following US 506(c) rules Regulation D and Canadian NI 45 106 and NI 45 110 rules

What valuation are we seeking?

Edison Motors is seeking a $200M USD company valuation.

How did you get to this valuation?

It was primarily done but comparing other EV t startups at similar stages to ourselves and their value at the time (around $700m - $4 billion). And then we reduced the amount from those other companies as we have a longer plan to get to market going slow and steady so can’t promise as fast as returns as the other guys. We’re playing it slow and safe but that does lower the comparative valuation

How much does each share cost?

$40 USD / $55 CAD

Edison Motors currently only has 5,000,000 common shares total.

In comparison, publicly traded companies typically have hundreds of millions of shares, this is why our share price is high.

Is there a minimum investment?

Yes

US Investors: $1,000 USD, or 25 shares.

Canadian Investors: $275 CAD, or 5 shares

Is there a maximum investment?

We are seeking to sell a maximum of 500,000 common shares, or approx. 10% of the company

Are there any fees or taxes associated with my purchase?

Edison Motors will add a fee to your purchase price to cover Credit Card payment processing expenses, The fee is 3.5% via dealmaker. Frontfundr Portal will charge a 2% fee to process payments.

Edison Motors cannot provide tax guidance and recommends you consult a tax professional regarding all tax questions.
