Acceptable documents include:
- Bank statements, brokerage statements, and other statements of securities holdings.
- Certificates of deposit, tax assessments, and appraisal reports issued by independent third parties.
- A consumer report from at least one of the nationwide consumer reporting agencies.
3. **Third-Party Verification**: Obtain a written confirmation from a registered broker-dealer, investment advisor, licensed attorney in good standing, or a certified public accountant. This confirmation should state that they have taken reasonable steps to verify your accredited investor status within the prior three months and have determined that you are an accredited investor.
4. **Documentation Upload**: After signing and funding your agreement on the DealMaker platform, you will be prompted to upload the relevant documents to verify your accredited investor status.

Is this a risky investment?
Yes, absolutely. We are a startup EV company and there’s a lot of risks built into that. Please do not invest any money that you can’t afford to lose.
What method are you using to conduct this investment raise?
We are using a subscription agreement following US 506(c) rules and Canadian NI 45 106 and NI 45 110 rules
What valuation are we seeking?
Edison Motors is seeking a $200M USD company valuation.
How much does each share cost?
$40 USD / Or Approx $55 CAD
Edison Motors currently only has 5,000,000 common shares total.
In comparison, publicly traded companies typically have hundreds of millions of shares, this is why our share price is high.
Is there a minimum investment?
Yes. $1000 USD, or 25 shares.
Is there a maximum investment?
We are seeking to sell a maximum of 500,000 common shares, or 10% of the company, for total proceeds of $20,000,000 USD.
Are there any fees or taxes associated with my purchase?
Edison Motors will add a fee to your purchase price to cover Credit Card payment processing expenses, The fee is 3.5%

Can Anyone Invest?
This private placement is open to all investors anywhere around the world. Certain qualifications do apply though.
Why are you only allowing "accredited investor’s.”?
We would love to allow everyone to invest but the government won’t let anyone but accredited investors invest with Edison Motors right now.
“Do I have to submit documents to prove I’m accredited?”
No, under 506b rules there is no requirement to prove accredited investor status. We will not ask you for any personal financial documents. It is self declared
I am Canadian or American and not sure if I am an "accredited investor." How can I know?
An accredited investor is simply a person who meets certain income, net worth, or other criteria.
I am Canadian and not an accredited investor. But I have the money and really want to invest. May I?
Yes, our Dealmaker platform will assist you in determining if you are considered a friend, family or business associate. This exemption is limited to Canadian Investors and applies to anyone who has been following Chace Barber since the start of the company.
I am American and not an accredited investor. But I have the money and really want to invest. May I?
No, our Dealmaker platform will assist you in determining if you are considered an accredited or certified investor. There is no application or verification for eligibility. The government has these rules in place to protect investors
When do I actually own my shares, and how can I see them?
Once you sign your Subscription Agreement and complete your payment, the Edison team will be notified. Your stock purchase will be reviewed, approved and countersigned by the team within a few days. At that time you will be notified via email that your purchase has been approved. Once your payment clears, you will be granted your digital share certificate. You will be able to view and manage your holdings via your Dealmaker account at anytime.
What if my Stock Purchase is not approved by Edison?
If Edison Motors declines your stock purchase, you will not be charged, and you will not receive shares.
What if the Private Placement closes while my stock purchase is awaiting approval by Edison, or before my payment clears?
The Private Placement may close without warning due to high demand and limited shares for sale. If this occurs, Edison Motors will decline your stock purchase. You will not be charged, and you will not receive shares.
When will I be able to sell my shares?
No time soon. Edison Motors is a privately-held company with no public market for shares. In the future, Edison Motors may seek to take the company public, allowing trading of your shares on the public markets.
May I sell my shares through secondary market platforms such as Forgeglobal?
Not at this time. Shares will be held privately by shareholders until a public offering.
Does Edison Motors pay dividends to shareholders?
No.
Who owns Edison Motors right now?
The founders of Edison Motors, Chace and Eric, together own a majority of the company (above 70%), and will continue to own the majority of shares at the conclusion of this Private Placement. The remaining shares are currently held by employees, contractors, volunteers and prior investors.
Are there different classes of shares in Edison?
No. There is only one type of Edison Motors share; common stock. All shareholders, including the founders as well as any participants in past and current share purchase opportunities, hold this same common stock exclusively.
How many total shares are currently Issued & Outstanding?
4,813,885 held by investors
Will this private placement add new shares, i.e. be dilutive?
187,915 shares of this private placement are shares which have been set aside by the company for sale. This will allow the company to access approx $8M USD.
beyond this, additional shares will be issued in order to reach a maximum raise of $20M USD. This issuance would result in a maximum 6% dilution of company shares.
As a shareholder, will I get a discount on a truck kit or get any other perks?
No perks or discounts currently. We value your generous support as we work our way to production.
What happens to my shares if I die?
